ProxI Terms of Service

Last updated: September 26, 2026

These Terms of Service ("Terms") are a legal agreement between you and BetterU LLC ("we," "us," "our"), the operator of ProxI (the "App"). By creating an account or logging in, you agree to these Terms and to our Privacy Policy. The App asks you to read and agree to both before you do either.

1. What ProxI is

ProxI is an app for spending real time with your friends. It lets you add friends, see the activities you have in common, make plans to meet up, start groups with the people you do things with, and keep a profile with posts you choose who can see.

A group can also switch on an optional daily challenge. In a group with the challenge on, members post proof of what they did each day, and a group-chosen "forfeit" (an informal social consequence, like buying coffee) applies to whoever misses the window without a passed dispute. A group without the challenge has no proof, no window and no forfeits, and nothing else in the App affects a challenge or any forfeit.

2. Eligibility

You must be at least 13 years old to use ProxI. When you create an account, you confirm that you are. By creating an account, you confirm that this is true and that creating an account doesn't violate any law that applies to you. We may suspend or remove an account if we learn it belongs to someone under 13.

3. Your account

You're responsible for keeping your login credentials secure and for everything that happens under your account. Tell us immediately at lucasborgarello@icloud.com if you believe your account has been compromised.

4. Forfeits are not a financial service

This is important, so we're stating it plainly: forfeits in ProxI are informal social commitments between the members of your group, not a financial transaction the App processes, guarantees, or enforces. When the App marks a forfeit "settled," that only reflects that one group member reported paying it and another confirmed it. ProxI does not move money, verify payment actually happened outside the App, or mediate disagreements about it. If your group's forfeit involves real money or goods, that arrangement is between you and your groupmates, entirely outside ProxI's responsibility.

5. Community conduct

Forfeits, disputes, and "missed day" posts are meant to be lighthearted, a joke between friends, not punishment. Cruel, harassing, or abusive use of any App feature (including forfeits, dispute reasons, proof notes, plans, messages on a plan, and profile posts) is prohibited, regardless of whether the target consented to being in the group.

This applies in full to messages. A message thread on a plan is subject to exactly the same rules as anything else you write in the App, is reportable line by line, and is not a private channel exempt from them.

You agree not to:

There is no tolerance for objectionable content or abusive users.

How to report someone, and what we do about it

Every proof post, dispute, plan, message on a plan, profile post, and friend's profile in the App has a Report action. On a message it sits under each message that is not your own. You can also email lucasborgarello@icloud.com.

We commit to reviewing every report and acting on it within 24 hours. Acting on a report means one or more of: removing the content, warning the account, suspending it, or permanently removing the person from the App.

You can also block anyone from their post or their profile at any time. Blocking is immediate and mutual: neither of you can see the other's content afterwards. Blocking does not require a report and we are not notified when you do it. Everyone you have blocked is listed under Settings, where you can unblock them.

You can hide any post or message from your own view without blocking the person who posted it. Reporting something also hides it for you straight away. Hidden posts are listed under Settings, where you can show them again.

If you own a group, you can additionally remove a member from it in Group Settings, and any member can leave a group at any time.

We may suspend or terminate accounts that violate these Terms, without notice, at our discretion. A suspended or banned account cannot sign in, and the person is hidden from everyone else in the App until the suspension ends or is lifted. Their content is kept, not deleted, while a suspension lasts.

6. Your content

You own the photos, videos, notes, messages, and text you post. By posting them, you grant us a limited license to store and display that content within the App to the people it is meant for (the members of your group, and anyone your plan or profile settings share it with), solely to operate the App's features. We do not use your content for advertising or sell it, and we do not claim ownership of it.

You're solely responsible for what you post. Proof content is not verified by the App for authenticity; "proof" is trust-based between group members, not a guarantee we make.

Messages on a plan cannot be deleted, by you or by anyone else, and that is deliberate: a message that could be deleted could not be reported afterwards, and we have committed above to acting on reports. A message we remove after a report stops being visible to everyone but is kept, hidden, so the report can be reviewed. Messages are otherwise deleted along with their plan, 30 days after it.

7. Not a health or safety service

ProxI is a social app, not a mental health service. The onboarding prompt asking what makes it hard to make plans or reach out, or about social media, is optional and for your own reflection, and we don't review it or respond to it. If you're struggling, please reach out to a qualified professional, or in the US, call or text 988 (Suicide & Crisis Lifeline) for immediate support.

8. Disclaimers

The App is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement. We don't guarantee the App will be uninterrupted, error-free, or that any goal you use it to pursue will be achieved.

9. Limitation of liability

To the fullest extent permitted by law, BetterU LLC and its people won't be liable for any indirect, incidental, special, or consequential damages arising from your use of the App, including disputes between group members, unfulfilled forfeits, or content posted by other users. Our total liability for any claim relating to the App is limited to the amount you paid us in the 12 months before the claim arose (which, if you haven't paid us anything, is $0).

10. Dispute resolution and arbitration

You and BetterU LLC agree to resolve any dispute arising from these Terms or the App through binding individual arbitration rather than in court, except that either party may bring an individual claim in small claims court. You and we each waive the right to a jury trial and to participate in a class action. If any part of this section is unenforceable where you live, that part is severed and the rest of these Terms remain in effect.

11. Termination

You may stop using the App and request account deletion at any time (see the Privacy Policy). We may suspend or terminate your account for violating these Terms, or discontinue the App entirely, with notice where practical.

12. Changes to these Terms

We may update these Terms as the App changes. We'll update the date above when we do; continued use after a change means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where a small claims exception under Section 10 applies.
